Introduction
Welcome to BigOLogics. By accessing or using our services, you agree to abide by these Terms and Conditions. These terms govern the relationship between BigOLogics and clients for all software development, consulting, and maintenance services provided by BigOLogics. If you do not agree with these terms, please do not use our services.
Scope of Services
BigOLogics provides software development, consultation, maintenance, and support services as agreed upon in specific project contracts. Each project will have a defined scope, timeline, and deliverables, as outlined in individual agreements.
Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property rights, including but not limited to code, designs, and documentation created by BigOLogics, remain the property of BigOLogics until full payment is received. Upon payment, the client may receive specific usage rights as detailed in the project contract. BigOLogics reserves the right to use certain generic components for future projects, provided they do not infringe upon client confidentiality.
Confidentiality
BigOLogics is committed to maintaining confidentiality of all client-provided data and proprietary information. We will not disclose such information to third parties without written consent, except as necessary to complete the project or as required by law.
Client Responsibilities
Clients are responsible for providing necessary information, feedback, and resources to enable timely project completion. Delays in providing feedback or resources may impact the project timeline, and BigOLogics cannot be held liable for such delays.
Payments and Fees
Clients agree to pay fees as outlined in the project agreement. Payment terms, including upfront deposits, milestones, and final payments, will be specified in the contract. BigOLogics reserves the right to halt work if payments are not received according to agreed schedules. Late payments may incur additional fees.
Warranty and Liability
BigOLogics warrants that services will be performed in a professional manner. However, software is provided “as is,” and BigOLogics makes no guarantees regarding functionality or error-free operation after project completion. Any issues arising post-delivery are subject to a separate maintenance agreement.
BigOLogics will not be liable for indirect, incidental, or consequential damages, including but not limited to loss of data, revenue, or profits. Our liability is limited to the amount paid by the client for the specific project.
Termination
Either party may terminate the contract if the other party materially breaches any term of the agreement and fails to resolve it within 30 days of notification. Upon termination, the client will be liable for payment for any completed work up to the termination date.
Modifications
BigOLogics reserves the right to modify these terms. Clients will be notified of any changes, and continued use of our services after modifications constitutes acceptance of the revised terms.
